  • From the logs we see the problem here in the dd_NET_Framework30_Setup32DD.txt:

MSI (s) (08:64) [17:33:15:508]: Product: Microsoft .NET Framework 3.0 Service Pack 2 -- Error 1321. The Installer has insufficient privileges to modify this file: C:\Program Files\Reference Assemblies\Microsoft\Framework\v3.0\System.IdentityModel.dll.

Besides the potential download problem, please ensure that you run the setup package from local hard disk with the admin privilege.

    Thanks.

  • Ultimate resolution for me was finding the missing security tab (Tools, Folder Options, View tab, uncheck Simple File Sharing) then giving Full permissions to the Administrators for the C:\Program Files\Reference Assemblies folder.

    Good luck.

    Thanks AncientMath for your contribution.

Yes, in XP pro we can use it to set permission.
Additionally, we can also use a undocumented tool cacls to set permission: http://social.msdn.microsoft.com/Forums/en-US/vssetup/thread/bcca8d7f-614f-4c01-a9ec-a5367fcd30c2/

Hopefully it can solve this particular problem.
