Visual Studio 2010 throws 'System.ComponentModel.Design.ExceptionCollection' was thrown trying to open form migrated from 2008 project.

I'm vetting migrating our winforms application from VS2008 to VS2010, while continuing to target .NET FW 3.5. After converting the projects and solution, I'm receiving an error when I try to open the form designer. A dialog pops up "Exception of type 'System.ComponentModel.Design.ExceptionCollection' was thrown." with an Ok button. After hitting ok, the designer doesn't load. I tried using an approach that has worked in the past for diagnosing these:
1. Close the IDE launch another instance (IDE1). Enable breaking on CLR exceptions Thrown and User-Handled.
2. Launch another IDE instance (IDE2) and open the project.
3. In IDE1 attach the debugger to IDE2 instance.
4. In IDE2 try to load the designer and see what exceptions come up.
Problem is, no exceptions come up in the debugger in IDE1. I just get the dialog box with the exception.
I still have the original source in another workspace on my same machine. I can open this same form in VS2008 fine.
Anyone? Thanks in advance.
VS2010 ultimate. Windows 7 64bit.

could you remove any sensitive information and/or proprietary code from your form and upload or post code for that form so we can take a look at it and test it.

sorry, I don't have any good news for you on this. I've been off the MS stack for the last 1.5yrs. I hope you have success.
