I have a server like the following:
Windows Server 2003 installing SQL 2008R2 SP1
with 1GB physical memory
No matter what I set to the MAX Memory setting in SQL server. The Target Memory is only around 400MB.
are there any problem?

Keep in mind that SQL Server needs to play nice with the OS and other applications running on the server so a 400MB target is reasonable on a 1GB machine.

Target memory indicates the ideal amount of memory the server can consume. You need to look at other counters as well before pin point memory issue. Link in Ahmed's reply gives more info. Simply looking at this can not see problem.
