trying to fresh install .net framework 4.0 and got it directly from the Microsoft site

Use Aaron Stebner's cleanup tool to get rid of any leftovers from the failed install. The tool has been updated to deal with all frameworks currently available, including 4.0:
Then, try the 4.0 standalone installer, "As Administrator" after disabling your AV and anti-malware programs.

According to the description of your problem, could you let me know your OS version?
In my opinion, the issue you have met is related to KB956250. You encountered an error 0xc8000408 which is a kind of hrFileAccessDenied issue, and it means “unable to access the file”.
This article I think provide helpful information.
To figure out whether the error is related to KB956250, you can compare the version of your file to the version in this article.
I also advise you to use the Cleanup Tool to remove all leftovers caused by failed installation.
Then I suggest you download the .NET Framework 4 standalone installer.

I am having a similar issue on my PC with window 7 ultimate version.
I used teh clean up tool, it exit with code 0 however the error log file contains couple of lines:

First, if you want potential helpers to read your post, you need to start a new thread.
Adding a reply to an answered thread (think closed) means that most will never see it.
We need to see your complete install logs to know what is going on with your system, so I suggest you go through the following steps, exactly as stated:
Follow these steps exactly:
1. Download a fresh copy of the standalone installer for .NET Framework 4.0:
2. Before running the installer, apply irarab's fix as follows:
"I went to "C:\Windows\Microsoft.NET" there is a directory called "assembly".
I looked in the directory and found some subdirectories with lots of old dot net 4 files. I renamed the directory assembly2 and tried to install Dot Net 4 and it worked!!!!
(You can't delete the assembly directory unless you take ownership of it but you can rename it.)"
Also, clear your %temp% directory and disable your AV software.
The %temp% directory is a reference to the Temp folder associated with the current user. To clear it, do the following:
Sign on to your system with the Administrator user account you will use to run the installer. Click the Start Orb and type %temp% in the search box. The search results will show the Temp folder you want. Click on the Temp folder to open it in Windows Explorer, then delete the entire contents.
3. Run the standalone installer from step 1 As Administrator.
If the install fails, provide complete install logs as follows:

After you run Collect.exe, you'll find vslogs.cab in your %temp% directory. Please upload vslogs.cab to a public site, like SkyDrive, and post the link here.

Hi thanks for your answer, the only reason I have made a reply here rather than a new thread is to say that I found this post that might describe my issue but I still have issue installing vs/.NetFramwork.
so I followed your instructions
AV as well as security essential are off
deleting what is in TMP dir
rename C:\Windows\Microsoft.NET\assembly to C:\Windows\Microsoft.NET\assembly2
downloaded the installer, ran it as admin and still getting the same error. the collected log file is uploaded to skydrive

I have tried what Alexander suggested to merge miserver but that didn't help, I am still getting the same error.
I was reading through other posts and a suggestion to re-install the OS was made, do you think this is a valid one?

In general, spending days on a problem and getting nowhere makes no sense.
The fact is that there are innumerable possible ways for software installations to go wrong, especially with software like a managed environment (.NET Framework).
If you have tried the established solutions to no avail, you should consider repair or reinstall of your OS.
For help with Windows repair/reinstall, these forums are the place to ask:
